PRODUCTS LISTING PROGRAM TERMS AND CONDITIONS

1. Products/Services must be technically Halal and shall come with Halal logo from JAKIM or Halal verified sticker from Halvec Laboratories (MyHalmart’s subsidiary)
2. Products shall undergo screening to screen their status before proceed into the platform
3. Products/Services shall come with supporting Halal certified documentation (from JAKIM OR CoA issued by lab to proof that no porcine and no alcohol content)
4. For Merchant Packages offered, any additional products wanted to go for screening or the merchants wanted to go for additional Haltech Talk session shall incur additional charges to the merchants
5. Products listed by Merchants MUST be 100% authentic
6. Products shall be screened thoroughly before listing, and if upon screening the products are similar to other merchants’ products, the products shall be rejected to avoid misunderstanding
7. Counterfeit Products/Services are prohibited from being listed in MyHalmart Marketplace
8. “Counterfeit” encompasses Products/Services that were made in exact imitation of an existing brand with the intention to deceive or defraud and may include, but is not limited to:
9. A product/service that violates any local country laws in which they are sold
10. A product/service that is fake or a replica of an existing official product
11. A product/service that has never been produced by a specific brand
12. A product/service that is significantly under-priced
13. A product/service containing a registered trademark on the product, the packaging or anywhere related to the product without the authorization of the trademark owner
14. A product/service that contains specific design elements (e.g: cartoon characters or colourways) protected by a trademark; without the authorization of the trademark owner
15. A product/service that bears such similarities with other products (e.g: a replica of a branded item with or without altered logos) without the authorization of the trademark owner
16. A product/service that has no visible trademark on the product image on the listing, but the delivered product includes a trademark
17. Usage of a photo on the listing that contains the trademark of a brand
18. Original equipment manufacturer (OEM) brands are permitted as long as no official brand logo is displayed on any OEM product image and no official brand name is stated in any part of the product/service information
19. If requested by MyHalmart, the Merchant shall promptly provide the documentation to MyHalmart that proves (to MyHalmart’s reasonable satisfaction) the authenticity of the Products/Services including, but not limited to, manufacturer sales invoices, authorized distribution agreements and/or certificates of authenticity (Halal certificate, GMP certificate, HACCP certificate, etc.)

21. Able to allow 10% discount on the products/services for membership purchase
22. Able to give up to 50% discount on any sales and promotions made by MyHalmart management on special seasons
23. Products offer in MyHalmart Marketplace and actually delivered to Customers

26. The specifications listed (also available to Customers) on the website, including any and all products/services

1. Will be free from damage or defects
2. Ready products/services with minimum expiry date of 18 months
3. Able to commit on delivery timeframe stated
4. Merchant understands and agrees that it will be responsible for any non-conformity or defect in, or any public or private recall of, any of the Products/Services and will hold MyHalmart harmless from any losses relating to the foregoing.

MERCHANTS PROGRAM TERMS AND CONDITIONS

 Application Requirement

1. Companies or Business that interested to participate in MH Merchant Listing Subscription has to register as MyHalmart’s official MH Merchant and shall consent to the terms and conditions set out in these MyHalmart Marketplace Terms & Conditions.
2. For a registered companies, they must be an incorporated legal entity or have a business registration number and are authorized under the constitution documents to conduct business with MyHalmart Marketplace in accordance with the laws of Malaysia
3. For international companies, they must provide all such information and documents required to support the application, including but not limited to their company/business registration number, company incorporation documents and details of personnel handling the account
4. MyHalmart reserves the right to accept or reject your application to become a merchant at MyHalmart sole and absolute discretion in the following cases:
5. Where MyHalmart are not able to verify your identity with certainty
6. Where the information provided by the company upon application (e.g: email address, telephone number, company/business registration number, etc.) is identical to a membership account already registered with MyHalmart
7. Where the company has provided false or inaccurate information or omitted to provided necessary information during the application process
8. Where the company has applied to be a merchant within less than one (1) month from the date of termination or cancellation of an earlier application on MyHalmart Marketplace website
9. Where the company has signed up as a MH Merchant under another account, which is either temporarily or permanently suspended at the time of application for a new merchant account
10. Where the company has breached any of the Terms & Conditions
11. Any other reasons as may be determined by MyHalmart
12. All information provided to MyHalmart as part of the registration process MUST be accurate, current and complete at all times and will be immediately informed to MyHalmart if there are any changes to the same

Completion of Registration

1. Upon acceptance as MH Merchant, the Merchant irrevocably agree that they shall indemnify and keep MyHalmart indemnified and hold MyHalmart harmless for any expense, loss or damage that MyHalmart may suffer arising from any inaccurate or false statement or misrepresentation of information submitted to MyHalmart by the Merchant
2. MyHalmart shall provide the successful registered Merchant up to six (6) Member IDs
3. Every successful registration, each Merchant is eligible to have 30 days free trial for the package they subscribed
4. Upon completion of the 30 days free trial, Merchant shall be charged annually (every 12 months) for renewal of the package they subscribed

Protection of Account Details

1. Each Merchant is responsible for maintaining the confidentiality of the Merchant’s account information, including the account password, and for all activity that occurs under the Merchant’s account
2. Merchants shall immediately inform MyHalmart if there are any unauthorized use of their account or password or of any other breach of security
3. Merchants may be held liable for losses incurred by MyHalmart or by any other member and/or seller due to someone else is using Merchant’s account or password 

Dormant Account

1. MyHalmart shall deem Merchant’s account to be dormant if merchants fail to log in to the Website for a duration exceeding 6 months
2. In the event that the Merchant’s account is deemed dormant, MyHalmart may purge and remove Merchant’s product listings from Merchant’s store on the Website

Payment Terms

1. For all orders placed on the Website, payments shall be collected by MyHalmart on behalf of the Merchant, in the mode (i.e., payment gateway or cash on delivery) as opted for by the Buyers. You hereby authorize MyHalmart to process, facilitate, collect and remit payments to You, (collected either electronically or through cash on delivery), from the Buyers in respect of sale of the Products through the Website. You also agree that, in doing so, MyHalmart will be merely acting as your limited agent with the sole intent and purpose of facilitating the sale and purchase of Products through the Website. You also agree that the payment facility provided by MyHalmart is neither a banking service nor a financial service but is merely a facilitator/facilitating the service of providing an automated online electronic payment system, using the existing authorized banking infrastructure and credit card payment gateway networks or payment through cash on delivery, for the transactions on the Website. Further, by providing the payment facility, MyHalmart is neither acting as a trustee nor acting in a fiduciary capacity with respect to any transaction on the Website
2. Every purchase of Products/Services shall be paid via payment gateway
3. Repayment to Merchants shall be done within 30 days after products sold

Force Majeure

1. Any delay in or failure to perform any obligations by the Parties under this Agreement shall not constitute default hereunder if and to the extent caused by force majeure, which is defined to be occurrences beyond the reasonable control of the Party committing default, including but not limited to acts of the government authorities, acts of God, fire, flood, explosion, riots, war, rebellion, insurrection, sabotage and non-cooperation of third parties. Provided, however, that Merchant shall give prompt written notice within a period of seven (7) days from the date of the force majeure occurrence to MyHalmart. You shall use all reasonable efforts to avoid or remove such cause of non-performance and shall continue performance hereunder whenever such causes of force majeure are removed.

MYHALMART AFFLIATE PROGRAM TERMS AND CONDITIONS

MYHALMART Wholesome Affiliate Package is a free program that offers MYHALMART members & web owners to earn extra income. Everyone that joins this program will be able to make up 5% commission of extra cash from every successful transaction by placing a graphic, link or links on their web site, blog, social media site or email to advertise MYHALMART SDN BHD (1191783-P) or specific products on MYHALMART website. Any sales made to customers who have clicked on those links will earn the affiliate commission of that 5%. It is a free, simple and an easy way for people to make extra money!

AFFILIATES PROGRAM TERMS AND CONDITIONS

MYHALMART Wholesome Affiliate Package is a free program that enables MYHALMART members to earn extra income by placing their affiliate link or links on their website, blogs or social media (Facebook, Twitter, Instagram, Youtube, LinkedIn, etc.) to advertise MYHALMART SDN BHD and its products. Any sales made by customers who have clicked on the affiliate links will earn affiliate commission in a form of MH Point in which the points are redeemable with cash or vouchers. The standard commission rate is currently 5%.

PROGRAM REGISTRATION

By filling up the sign up form via MYHALMART marketplace in which upon acceptance, you will officially become an affiliate and are bound by the terms of this agreement. Your participation in the program is solely for this purpose, which is to legally advertise MYHALMART marketplace and MYHALMART’s products to receive a commission on products successfully purchased by your referred customers.

RESPONSIBILITIES

It is understood that you will introduce MYHALMART and its products to your current and prospective customers and shall comply with all laws as well those that govern email marketing and anti-spam laws. MYHALMART reserves the right to accept or reject any prospective customers and will pay you a commission per customer referred using your affiliate code according to the designated payment schedule. Either you or MYHALMART may terminate the Affiliate Membership at any time. You are only eligible to earn affiliate payments during your time as an approved affiliate. MYHALMART may change the program policies and operating procedures at any time.

MYHALMART-AFFILIATE RELATIONSHIP

MYHALMART-affiliate relationship is one of independent contractors. MYHALMART will not be liable for indirect, special or consequential damages arising in connection with this program and our aggregate liability arising with respect to this program will not exceed the total referral fees paid or payable to you. MYHALMART makes no express or implied warranties or representations with respect to the program. In addition, MYHALMART makes no representation that the operation of the service will be uninterrupted or error-free, and MYHALMART will not be liable for the consequences of any interruptions or errors. MYHALMART is located in Subang Jaya, Selangor (MALAYSIA) and the program is governed by the laws of Malaysia.

AFFILIATE STATUS

The affiliate application and status in the program may be suspended or terminated for any of the following reasons:

• Advertising on sites containing/promoting illegal activities
• Inability to refer clients to MYHALMART (Lack of performance)
• Inappropriate advertisements (false claims, misleading hyperlinks)
• Illegal spamming (mass email, mass newsgroup posting, etc.)
• Violation of intellectual property rights

AFFILIATE’S GRAPHICS & TEXT LINKS

You may use graphic and text links both on your website, blogs, social media and email. The site may also be advertised “offline” in classified ads, magazines and newspapers. You may use the graphics and text links provided to you by MYHALMART or you may create your own as long as they are appropriate according to the conditions above and has been approved by MYHALMART to be advertised.

AFFILIATE TRACKING

When a customer clicks through your affiliate graphic or text links, a cookie is set in their browser that contains your affiliate username. Furthermore, their IP address is tracked in the database along with your affiliate name. When the customer decides to buy a product, the script will look for this cookie and/or try to match their IP address to identify the affiliate who will be awarded the commission. Visitors sent through your affiliate links may make a purchase later in time and the commission will still be awarded if the cookie is present in their browser and/or they are using the same IP address as the one logged in the database. Affiliate members are not allowed to use their affiliate link to claim the commission.

AGREEMENT TERMS

These terms will begin upon your sign up with the MYHALMART Wholesome Affiliate Program and will end when your affiliate account is terminated. The terms of this agreement may be modified by MYHALMART at any time. If any modification to the terms is unacceptable to you, your only choice is to revoke your affiliate status. You shall abide with any changes in the terms if you are continuing to participate in the program.

LIABILITY

MYHALMART will not be liable for indirect or accidental damages (loss of revenue, commissions) due to affiliate tracking failures, loss of database files, and any results of “intents of harm” to the program or MYHALMART marketplace. MYHALMART does not make any expressed or implied warranties with respect to the affiliate program and/or products sold at its marketplace. MYHALMART make no claim that the operation of the affiliate program and its marketplace will be error-free and it will not be liable for any interruptions or errors. By submitting your application, you acknowledge that you have read the terms and conditions, understand and agree with them.

PAYMENT SCHEDULE

The payment of affiliate commission is scheduled on 30 days basis (monthly basis)
